Terms and Conditions
1. Purpose of Agreement
Gaux operates a curated platform (“The Gaux Space”) connecting families with qualified experts who support pregnancy, postpartum, early parenthood, and early childhood development.
Partner wishes to join Gaux as a listed professional and participate in opportunities for visibility, education, and community engagement.
This Agreement outlines the terms of Partner’s participation.
2. Nature of Relationship
Partner is an independent professional and is not an employee, agent, contractor, representative, or affiliate of Gaux.
Partner is solely responsible for:
- their services
- their professional conduct
- their licensing or certification
- their advice, care, and client interactions
- maintaining necessary malpractice or liability insurance
Nothing in this Agreement creates a joint venture, partnership, employment, or agency relationship.
3. Term Length
This Agreement begins on the Effective Date and continues for 12 months unless terminated earlier under Section 14.
The Agreement renews annually upon payment of the annual partnership fee.
4. Fees + Payment Terms
Partner agrees to pay the applicable annual partnership fee:
- Essential Partnership
or - Featured Partnership
Fees are non-refundable, including in the event Partner’s circumstances change or Partner chooses to discontinue participation.
Early partners who join before public launch will retain their locked-in pre-launch pricing as long as their partnership remains active.
5. What Gaux Provides
During the term of this Agreement, Gaux will provide:
5.1 Visibility
- A professional listing visible regionally and nationally inside The Gaux Space
5.2 Community Access
- Access to the Gaux professional community and communications
5.3 Eligibility for Opportunities
Depending on the partnership tier, Partner may receive eligibility, not guarantees, for:
- webinars, classes, or live sessions
- inclusion in Gaux newsletters
- inclusion in Gaux’s Resource Library
- hosted PDFs or educational resources
- editorial features
- social media clips or promotional materials
Selection for any visibility opportunity is at Gaux’s sole discretion and may depend on relevance, availability, timing, quality standards, and alignment with the brand.
6. Partner Responsibilities
Partner agrees to:
6.1 Maintain Professional Standards
Partner represents that they hold all appropriate licenses, certifications, and qualifications for their field.
Partner agrees to provide care that is:
- evidence-based
- inclusive
- ethical
- culturally sensitive
- aligned with Gaux’s values
6.2 Provide Accurate Information
Partner agrees that all information provided to Gaux (bio, credentials, links, education, experience) is accurate and up-to-date.
Misrepresentation may result in immediate termination of partnership.
6.3 Conduct Expectations
Partner must maintain professionalism with families and peers and avoid any:
- discriminatory behavior
- unethical conduct
- abusive communication
- misinformation
- harmful advice
- unlicensed practice
6.4 No Medical Advice Under Gaux Branding
If Partner provides medical, therapeutic, clinical, or regulated advice, they do so solely under their own name and license, not as a representative of Gaux.
Partner must make clear they are acting independently.
7. No Guarantee of Outcomes
Gaux does not guarantee:
- specific visibility levels
- referrals
- client acquisition
- webinar invitations
- social media exposure
- editorial placements
- income
- results or outcomes
Participation is not contingent on Gaux providing exposure or opportunities.
8. Liability + Indemnification
8.1 Gaux is Not Liable for Partner’s Work
Gaux is not responsible for:
- Partner’s professional services
- any interactions between Partner and families
- any harm, injury, dissatisfaction, or claims arising from Partner’s actions or omissions
Partner is solely responsible for their work.
8.2 Partner Agrees to Indemnify Gaux
Partner agrees to indemnify and hold harmless Gaux, its officers, employees, and contractors against any claims, damages, losses, or costs arising from:
- Partner’s services
- Partner’s advice
- Partner’s conduct
- Partner’s misrepresentation
- any dispute between Partner and a family
9. Use of Name, Image & Materials
Partner grants Gaux permission to use:
- Partner’s name
- credentials
- headshot
- bio
- submitted educational materials
- submitted session recordings
- social clips created by Gaux
for marketing, editorial, and platform purposes.
Partner may request removal with reasonable notice.
10. Intellectual Property
All Gaux branding, curriculum, content, messaging, video, design, and materials are owned exclusively by Gaux and may not be copied, distributed, or repurposed without written permission.
Partner retains ownership of their own materials but grants Gaux permission to host, share, and archive any materials submitted for inclusion.
11. Content Guidelines
Any session, PDF, guide, or educational asset submitted by Partner must be:
- original to Partner
- evidence-based
- aligned with Gaux philosophy
- free of misinformation
- free of copyright violations
- accurate and non-harmful
Gaux may refuse or remove any material that does not meet standards.
12. Removal or Suspension
Gaux reserves the right to remove or suspend Partner at any time, without refund, if:
- Partner violates professional conduct
- Partner misrepresents their credentials
- Partner endangers clients
- Partner spreads misinformation
- Partner behaves in a discriminatory or harmful manner
- Partner violates Gaux values
- Partner violates this Agreement
13. Termination
Either party may terminate this Agreement with written notice.
Termination does not entitle Partner to a refund.
Upon termination, Partner’s listing and access to The Gaux Space will end immediately.
14. Governing Law
This Agreement will be governed by and interpreted under the laws of the State of Delaware.
15. Entire Agreement
This Agreement reflects the entire understanding between Partner and Gaux and supersedes all prior communications.
